Using the Internet, go to the California Secretary of State’s home page (http://www.sos.ca.gov/ (Links to an external site.)Links to an external site.). Find the sections dealing with the Business entities. Assume a fictitious client wants to create a business entity under the name of “[YOUR LAST NAME] Engineering” (eg. “Samson Engineering” if it were your professor doing this assignment) to create a corporation is to engage in the profession of ENGINEERING.

(1) Conduct a search at the Secretary of State’s site to see if another Corporation is already using this name – “[YOUR LAST NAME] Engineering”. Write brief responses to questions 1(a)-1(e) on paper answering the following questions:

(a) Is this name already being used by another corporation?

(b) If not, what is the number and title of the form to reserve the desired name?

(c) What is the fee to reserve “[YOUR LAST NAME] Engineering”?

(d) For how long can the name be reserved?

(e) Once reserved, what are the limitations on consecutive renewals?

(2) Locate the fillable PDF form Articles of Incorporation of a Professional Corporation (Form ARTS-PC) and completely fill out the Articles of Incorporation for “[YOUR LAST NAME] Engineering”. Print the completed Articles of Incorporation and turn it in with a printed copy of your brief responses to questions 1(a)-1(e).

(3) Your fictitious client also wants to engage in the practice of Land Surveying. For that type of business locate the fillable PDF form Application to Register a Limited Liability Partnership (LLP) and completely fill out the Application for “[YOUR INITIALS] Surveying” (eg. “FKS Surveying” if it were your professor doing this assignment). Fully complete the form and print it. Turn it in together with the PDFs of your brief report and Articles of Incorporation.

Format: Print and turn in copies of your business entity brief responses to questions 1(a)-1(e) and 2(a)-2(e), together with the completed Articles of Incorporation of a Professional Corporation and Application to Register a Limited Liability Partnership for your fictitious client’s business entities.
